Terms and Conditions of Sale

Effective Date: April 6, 2026

These Terms and Conditions apply to all quotations, purchase orders, order confirmations, and sales of goods provided by Automation Guarding Systems (“AGS”).

  1. Acceptance of Terms

    Acceptance of any quotation issued by AGS, submission of a purchase order, or acceptance of shipment of goods constitutes acceptance of these Terms and Conditions unless otherwise agreed to in writing by AGS.

  2. Payment Terms

    Standard payment terms are NET 30 from date of invoice unless otherwise agreed to in writing.

  3. Delivery Delays / Force Majeure

    AGS shall not be liable for delays or failure to perform caused by events beyond reasonable control.

  4. Confidentiality and Intellectual Property

    AGS invests significantly in the design, engineering, and visual presentation of its products. To protect that investment while continuing to share information openly with valued customers and partners, the following applies to all confidential and proprietary materials provided by AGS.

    1. Proprietary Information

      All information shared by AGS in connection with a quotation, sale, or ongoing business relationship is confidential and proprietary. This includes, but is not limited to:

      • Engineering drawings, CAD files, and layouts
      • Product specifications and technical documentation
      • Photographs, renderings, and images of products, assemblies, components, and facilities
      • Engineering drawings, CAD files, and layouts
      • Marketing materials, product catalogs, and configurator outputs
      • Pricing, quotations, and cost information
      • Manufacturing methods, processes, and design concepts
    2. Restrictions on Use

      Proprietary information provided by AGS may not, without prior written consent from AGS:

      • Be disclosed to any third party, competitor, or unauthorized individual
      • Be reproduced, copied, or distributed in any format — digital or physical
      • Be used to manufacture, reverse engineer, or develop similar or competing products
      • Be published, posted online, or shared through any public or social media channel
      • Be used to solicit alternative suppliers or bids for products substantially similar to those provided by AGS
    3. Photographs and Visual Content

      Photographs, images, and renderings shared by AGS — whether of finished products, components, custom installations, or facility operations — are the exclusive visual property of Automation Guarding Systems. AGS understands that customers are proud of the work done together, and we welcome that. If you would like to use AGS product images for internal presentations, facility showcases, or other purposes, we simply ask that you reach out to us first. In most cases, we’re happy to accommodate reasonable requests and may even be able to provide higher-quality images for your use.

    4. Ownership of Designs and Concepts

      All designs, engineering concepts, visual works, and creative content developed by AGS remain the exclusive intellectual property of Automation Guarding Systems, regardless of whether they were created in response to a customer inquiry or specification. Submission of a purchase order or payment for goods does not transfer ownership of any underlying design, image, or intellectual property to the Buyer.

  5. Shipping and Risk of Loss

    All products are shipped FOB Shipping Point from AGS’s facility in Sterling Heights, Michigan. Title to and risk of loss for all goods transfer to the Buyer upon delivery of the products to the carrier at AGS’s facility. Once goods have been tendered to the carrier, AGS is not responsible for loss, damage, delay, or non-delivery occurring during transit.

    1. Freight Damage

      AGS takes care in packaging all products for shipment. However, once goods leave our facility, responsibility for transit damage rests with the carrier. In the event of freight damage, the Buyer shall:

      • Inspect all shipments carefully before signing the carrier’s delivery receipt
      • Note any visible damage on the carrier’s delivery receipt before signing
      • Retain all original packaging materials for carrier inspection
      • File a freight claim directly with the carrier promptly upon discovery of damage
      1. FAILURE TO NOTE DAMAGE ON THE DELIVERY RECEIPT AT THE TIME OF DELIVERY SHALL LIMIT OR ELIMINATE THE BUYER’S ABILITY TO RECOVER FROM THE CARRIER.

        AGS will cooperate in good faith to assist the Buyer in resolving freight claims where possible, but makes no guarantee of replacement or credit for products damaged in transit.

  6. Limitation of Liability

    AGS shall not be liable for indirect, incidental, consequential, or special damages including but not limited to lost production, lost profits, or operational downtime. AGS’s total liability shall not exceed the purchase price of the goods sold. AGS’s obligation is limited, at its discretion, to the repair, replacement, or refund of defective products.

  7. Governing Law

    These Terms and Conditions shall be governed by and interpreted in accordance with the laws of the State of Michigan.
